The Practice Group Leader leads the Corporate and Transactional Law Group, which is responsible for:
Providing transactional legal support to business development, research and intellectual property functions and the global manufacturing, procurement, and informational technology organizations (incl. molecule and platform technology licenses, digital, data and personalized healthcare collaborations, research, development and commercialization collaborations, and contract manufacturing arrangements)
Performing legal work in support of local and globally-driven mergers, acquisitions, equity investments, divestitures, and financing matters
Serving as and supporting the Corporate Secretary function for US Roche companies (incl. state qualification and withdrawal filings, preparing and filing annual reports with Secretaries of State, drafting resolutions and minutes)
This position has full management responsibility for the attorneys and other staff in the practice group. Key responsibilities of the practice group leader include the following:
Practice Group and Personnel Management
Oversee the delivery of high quality legal services by the practice group, currently comprised of 13 attorneys (3 of whom are managing attorneys)
Establish leadership vision and direction for the practice group, evolve legal practices as needed to meet changing business requirements, establish best practices in support of transactional and corporate work and provide ongoing coaching and training to elevate the performance of the team, and serve as a legal subject matter expert and mentor
Collaborate with leaders of other Genentech and Roche legal functions on matters involving shared responsibility
Prioritize work of the practice group, and oversee workload and resource allocation
Lead recruitment, hiring and on-boarding for direct report positions
Develop talent and build capabilities within the practice group and across the broader Corporate Law organization; establish and maintain a succession plan for key roles; support individual professional development plans of practice group members
Manage outside counsel providing advice and deliverables to the practice group and, where applicable, negotiate rates, project fees, and timelines
Serve as a strategic legal advisor to senior business leaders; Regularly anticipate future challenges and risks to the company and innovate to find solutions and create business value in response to a highly competitive, dynamic marketplace
Serve as a standing or ad hoc member of senior business leadership teams as required
Foster strong relationships with client groups and create efficient and effective processes for working with clients
Legal Department Leadership
Serve as a standing member of the Corporate Law Leadership Team; Contribute to Corporate Law’s talent management and succession planning for key positions
Cultivate a culture that reflects a strong commitment to employee engagement, diversity, inclusion and community
Support the leadership of the broader Legal Department by serving as a member of the Legal Senior Managers Forum, and leading various department-wide projects and initiatives
Identify and support strategic opportunities in Legal to collaborate across practice groups to innovate and better serve the business
15+ years of experience in strategizing, negotiating, and advising on mergers, acquisitions, complex licensing, and/or other transactional matters in the pharmaceutical/life sciences industry; 5+ years of experience serving as a strategic legal advisor to executive and senior business leaders
Track record of success in innovating and creating business value as a legal leader, fostering teamwork and collaboration with other teams, handling complex transactions, and influencing and resolving conflict.
8+ years’ experience leading and managing a team of attorneys and staff
Expert knowledge of corporate, intellectual property, antitrust and regulatory laws related to the pharmaceutical industry, and solid functional knowledge of research, development, manufacturing and commercialization of a pharmaceutical drugs
J.D. degree (required) and BA or higher degree in chemistry, biochemistry, molecular biology, or similar field (preferred)
Admission to a U.S. State bar or the District of Columbia bar
